Initial Agreement

AGREEMENT by and between you ("Subscriber"), and Belsito Communications, Inc. doing business as 1st Responder Wireless News ("1st RESPONDER") made on the date of the submission of the Registration Form preceding this Agreement.

WHEREAS, 1st RESPONDER is a source of news for the general public including without limitation the Fire, Rescue and EMS community ("News").

WHEREAS, 1st RESPONDER receives the News from dispatchers. As used hereunder, "Unique Compilation Format" shall mean individually and collectively all of the results arising out of 1st RESPONDER'S use of News submitted to 1st RESPONDER by dispatchers.

NOW, THEREFORE, in consideration of the above and other valuable consideration, the receipt of and sufficiency of which is hereby acknowledged, the parties hereto hereby agree as follows:

As used hereunder, "Intellectual Property Rights" means, collectively, worldwide patents, trade secrets, copyrights, moral rights, trade names, trademarks, rights in trade dress and all other intellectual property rights and proprietary rights whether arising under the laws of the United States or any other state, country or jurisdiction.
1st RESPONDER owns and reserves all rights (including without limitation all Intellectual Property Rights), title and interests in and to the Unique Compilation Format. Without limiting the generality of the foregoing, Subscriber shall not authorize, permit or license any third-party the right to use the Unique Compilation Format.

Subscriber agrees to pay for the selected Personal Services, Pager Selection and delivery at the fees set forth in the applicable 4 (a) Form ("Fee (s)") in accordance with the on-line payment by credit card provision.
Subject to subparagraph 6 (a) hereunder, 1st RESPONDER reserves the right to change any or all Fees at any time during the Term.
Subscriber is solely responsible for all charges, including, but not limited to any overcharges for Subscriber's Paging Service and/or Internet service that may occur.
If Subscriber does not return the pager, and still wishes to cancel, they agree to pay a $250 cancellation fee.

Reference is made to the box on the Form "Tell Us A Little Information About You:" which acknowledges that Subscriber has read and agrees to 1st Responder Wireless News of Service. Once Subscriber checks this box Subscriber is deemed also to have acknowledged that Subscriber understands accepts and agrees to be bound by the terms of this Agreement.
